Terms of Service

1. Agreement to Terms

By accessing and using KN Digital’s services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Services Description

KN Digital provides web design, development, digital marketing, and related digital services to clients. Our services include but are not limited to:

• Website design and development
• E-commerce solutions
• Search engine optimization (SEO)
• Digital marketing campaigns
• Website maintenance and support
• Hosting and domain management

3. Payment Terms

3.1 Project Payment Structure

For projects under £5,000: Full payment is required upfront before work begins.

For projects £5,000 and above: To begin any project, a deposit of 50% of the project fee is required upfront. The remaining balance will be paid in two instalments linked to project milestones:

• 30% due upon delivery and approval of the first major milestone (e.g. design sign-off or prototype handover)
• 20% due upon delivery of the final completed project, prior to launch or handover

3.2 Payment Conditions

• Work will commence once the deposit has been received
• Payment Methods: We accept bank transfers, credit cards, and other approved payment methods
• Payment Terms: Net 15 days from invoice date unless otherwise specified

3.3 Project Delays and Restart Fees

• KN Digital reserves the right to pause or delay the project if payments are not made on time, or if the Client causes delays of more than 1 month (e.g. by not providing required content, feedback, or approvals)
• Restarting work after such a pause may incur a project restart fee equal to 20% of the outstanding project price

3.4 Late Payments

• Interest of 8% per month may be charged on overdue balances until payment is received
• Services may be suspended for accounts with overdue payments
• Collection costs and legal fees may be added to delinquent accounts

3.5 Recurring Services

• Monthly services are billed from the day they begin and recur monthly on the same date
• Annual services may be paid annually with a discount or monthly as agreed
• Monthly recurring services may be cancelled with 30 days notice

3.6 Ownership Transfer

• Ownership of all deliverables will transfer to the Client only upon receipt of full payment
• Deposits are non-refundable once work has commenced
• Refunds for completed work are at KN Digital’s sole discretion

4. Project Scope and Revisions

4.1 Project Scope

• All projects begin with a detailed scope of work
• Changes to the agreed scope may impact both the project price and timeline
• Any additional scope or new features requested outside the agreed project scope can be accommodated as a separate follow-on phase and will be priced accordingly
• Timeline estimates are based on agreed scope and client responsiveness

4.2 Revisions

• Minor revisions and refinements are included within the agreed scope
• Major revisions or changes beyond the included scope will be treated as additional work
• Additional revisions beyond the included amount will be billed at our hourly rate or as a separate phase
• Revisions must be requested within 30 days of delivery

5. Client Responsibilities

5.1 Content and Materials

• Unless clients purchase content or copywriting services from KN Digital, clients are responsible for providing all necessary content, images, and materials
• Client warrants they have rights to all provided materials
• Delays in content provision may affect project timelines

5.2 Feedback and Approval

• Client agrees to provide timely feedback within 7 business days of requests
• Failure to respond within agreed timeframes may result in project delays
• Final approval must be provided in writing

5.3 Domain and Hosting

• Client is responsible for domain registration and renewal
• Hosting arrangements must be established before website launch
• KN Digital may provide hosting services under separate agreement

5.4 Technical Support Limitations

• The agreed quote includes installation and setup of your site on your server as well as implementation of Google Analytics
• KN Digital does not offer or include ongoing technical support for website hosting, email, or other services relating to website hosting
• Updates and management of hosting servers are the client’s responsibility
• Additional technical support beyond design and development can be provided at our standard hourly rates

6. Intellectual Property

6.1 Client Content

• Client retains ownership of all content, trademarks, and materials provided
• Client grants KN Digital license to use materials solely for project completion

6.2 Final Deliverables and File Ownership

• Upon full payment, client receives ownership of graphics and visual elements created for the project
• Client will receive copies of all final files and should store them securely
• KN Digital is not required to maintain or provide native source files after project completion
• Client owns all text content, photographs, and data they provide (unless owned by third parties)

6.3 KN Digital Code License

• KN Digital retains ownership of HTML markup, CSS, and other code developed
• Client receives a license to use this code solely for the specific project
• This code may not be transferred or reused for other projects without permission

6.3 KN Digital Property

• KN Digital retains rights to general methodologies, techniques, and know-how
• KN Digital may showcase completed work in portfolio unless otherwise agreed
• Pre-existing tools, templates, and code remain property of KN Digital

7. Warranties and Disclaimers

7.1 Limited Warranty

• Websites are warranted to be free from defects for 30 days after launch
• Warranty covers functionality issues, not design preferences or third-party services

7.3 Browser Compatibility

• Websites will be developed using valid HTML5 markup and CSS3 for styling
• All markup and CSS will be tested in current versions of major browsers including Apple, Microsoft, Mozilla, Google, and Opera
• Pages will display visually similar (not necessarily identical) across supported browsers
• We do not test or support old or abandoned browsers (e.g., Internet Explorer versions prior to Edge) unless specifically agreed upon

7.4 Content Responsibilities

• KN Digital is not responsible for writing or inputting text copy beyond what is specified in the project scope
• Significant content creation work will result in additional charges with prior approval
• Stock photography, if needed, will be purchased only with client’s written approval and added to project costs

8. Limitation of Liability

KN Digital’s total liability shall not exceed the amount paid for services. We are not liable for:

• Indirect, incidental, or consequential damages
• Lost profits or business opportunities
• Third-party service failures or security breaches
• Issues arising from client-provided content or materials

9. Termination

9.1 By Client

• Client may terminate services with written notice
• Client remains liable for work completed and expenses incurred
• Termination fees may apply as specified in project agreement

9.2 By KN Digital

• We may terminate services for non-payment or breach of terms
• 30 days written notice will be provided when possible
• Client data and files will be provided upon request for 90 days post-termination

9.3 Contract Assignment

• This contract cannot be transferred by the client to any other party without KN Digital’s written permission
• All terms and conditions remain in effect throughout the business relationship
• If any provision becomes invalid or unenforceable, the remaining provisions remain in full effect

Both parties agree to maintain confidentiality of proprietary information shared during the business relationship. This obligation survives termination of services.

11. Force Majeure

KN Digital shall not be liable for delays or failures due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, or technical failures.

12. Governing Law

These terms are governed by the laws of [Your Jurisdiction]. Any disputes shall be resolved through binding arbitration or in the courts of [Your Jurisdiction].

13. Modifications

KN Digital reserves the right to modify these terms at any time. Clients will be notified of material changes, and continued use of services constitutes acceptance of modified terms.
